I realized that I had luck which probably won't repeat again soon.
I thought that MIGRATION section was the issue so I commented it out. Ubuntu installed succesfully. I also had to correct the root param in menu.lst. But Ubuntu didn't start. So I decided to reinstall it. But this time ubiquity hang again at 40% (actually this percentage is different for every attempt). So I don't think it is migration issue anymore.
And that was full syslog which I posted. I gave up trying wubi, I'll rather use Lubi/Bubackup this time.
My drive nfo: Seagate Momentus 5400.3, SATA SerialATA/150
