When you perform the upgrade, your software will be updated. Your "ubuntu-desktop" package in 10.04 depends on Gnome 2.x plus a few modifications. In 12.04, the ubuntu-desktop package depends on Gnome 3.x with Unity.
Gnome 3's shell is totally rewritten and won't bring over your Gnome 2 desktop arrangement.
You might, just possibly, have some luck with Mate - maybe it will read the Gnome 2 desktop settings.
However, Gnome 2 is dead. If you want to upgrade, you have to let your old software go to sleep and never wake up.
I try to treat the cause, not the symptom. I avoid the terminal in instructions, unless it's easier or necessary. My instructions will work within the Ubuntu system, instead of breaking or subverting it. Those are the three guarantees to the helpee.
