can you describe your subject further.
Are you trying to use your existing internal hard drive with an OS on it and trying to format your flash drive to use it as a storage device ?
Or
Are you trying use the flash drive as the live OS operating from the flash drive itself and subsequent use of it for hardrive space as well ?
Personally I think it means someone has a rope around the little imp.
I'm assuming you followed the instructions for creating the live flash drive here:
http://www.ubuntu.com/download/ubuntu/download
And I'm guessing that your booted to Ubuntu from a currently installed hard drive and want to make a USB live stick as you mentioned.
Also what version of Ubuntu are you booting to, versus what version of Ubuntu ISO are you planning to install
Anyhow try this method listed here and see what it produces.
I do not know how to do it from within Windows to create a live CD only from within Ubuntu which I assume your doing.

There should be no need to format the drive but just erase it then create live/boot should do the rest.
I'm assuming the flash drive currently does work without formating and that it's usable currently.
