Is that when running from the CD, or once it's been installed?

i run the cd and click install xubuntu and it goes to the uploading screen with the xubuntu logo and the bar right after that goes black and gives me what i typed up there.

Have you tried using the alternate install CD? The text mode installer is a little tougher than the normal installer, but sometimes it's the only thing that will work.
Also you didn't say what kind of system you were installing it on. I've had that issue in the past, but only when I've tried to install somewhere unusual, such as on a flash drive. If you have a really old system that might be the issue.

it's an older system

AMD 3000+
ATI 258
256mb ram
40gig hdd

i do not know how to deal with the text version..well i never dealt with it.

That should be more than capable of running Xubuntu, 256MB is plenty for Xfce. But try the alternate install CD rather than the normal Xubuntu CD, often that will work when the normal one won't.
Have you run other Linux distros before on this machine, or has it just ran Windows until now?

I am currently running Ubuntu kernal 2.6.20-17 i just want a kernel a little more updated and maybe something a little more smoother.

OK, that's fair enough. If it runs Ubuntu Feisty OK (I presume it's Feisty on there as that had the 2.6.20 Linux kernel), then I see no good reason why it wouldn't work with Hardy.
All I can suggest, then, is grab the alternate install and try that. Often that works if the normal install doesn't.

I've never dealt with it this way...is it going to help me along or is there anything i should look up and learn about it. Pretty sure i'll look for something, but anything i should try and understand or know a bit more.

It's not quite as easy as the regular Ubuntu install, but it's certainly no harder than installing Windows. It does ask the same basic questions, and a few others, but you shouldn't have any problems.

Alright thanks for the help. I am pretty sure i'll be good as long as it works.
