I am running Edgy (gack!) and finally decided to upgrade.

From synaptic I got:
W: Failed to fetch http://security.ubuntu.com/ubuntu/pool/main/u/util-linux/bsdutils_2.12r-11ubuntu2.1_i386.deb
404 Not Found
W: Failed to fetch http://security.ubuntu.com/ubuntu/pool/main/e/e2fsprogs/e2fslibs_1.39-1ubuntu0.1_i386.deb
404 Not Found

Some other errors when I tried from apt:
Err http://us.archive.ubuntu.com edgy/main Packages

As far as I know, Ubuntu Edgy is no longer officially supported (it reached its end of life), so I guess thats why you are getting those errors. I suggest you upgrade to a supported release or doa clean install of 8.04.

How do I do this w/o blowing away my system? Because even upgrade is not cooperating ...

Search on google for "ubuntu upgrade version". There are several official articles that can help you.
