I installed a HD from a 32 bit PC into a 64 bit PC; it already has Ubuntu 12.04 on it and works fine - so far - on the 64 bit PC. Can I upgrade the 32 bit 12.04 to 64 bit 12.10 without having to erase anything? or is it better that I reformat the HD and start anew because of the change from 32 bit to 64 bit.

You will need to do a clean install.

There is no way to upgrade a 32-bit installation to a 64-bit installation.
