Are there any disadvantages going from 11.10 32 bit to 11.10 64 bit?

Can I just upgrade or will I need to do a fresh install?

First you have to uninstall the kernel and install the 64bit version. Then the applications you have installed are of the 32bit architecture. So you have to uninstall them and install the 64bit version.
Finally you have to do so many changes, that a fresh 64bit install is easier and much more effective.

You might need to reinstall, I've never tried an upgrade.

I've been using 64-bit for over a year now, I can't really say if it's worse. I don't know of anything I'm missing that you can get on 32-bit. My hardware pretty much requires that I have 64-bit, or a crappy work-around to let me access all my memory in 32-bit mode.
