I'm running 8.04LTS because I've had problems running 9.04. I'm also running the Open Office 2.4 that is packaged with 8.04LTS.
Can I up grade to Ubuntu 8.10 to get a upgrade 3.1 Open Office?
How do I up grade Ubuntu without loosing any of my current Ubuntu setup? Is it a straight forward upgrade over the older version or do I have to begin from the start?

No, because Ubuntu 8.10 uses Openoffice 2.4 by default.
A better way to get OO3 is from the launchpad PPA: https://launchpad.net/~openoffice-pkgs/+archive/ppa
You could also download and install it directly from the OO website if you prefer.

I down loaded the package from Oo, but my big problem is that I don't know how to break the package and install it. It is more complacated then installing to MS. Can some one walk/ talk me through the install?

I can't walk you through step by step from personal experience (I prefer the launchpad repository method personally) but the following tutorials should help you:

Good luck!
