Had this problem with 8.04 LTS Server then reinstalled - same problem...

I enable all sources in sources.list then run apt-get update (+reboot) then apt-get upgrade (+reboot). Now everytime I run apt-get update it downloads th same set of files - it is never satisfied! What is going on?

This is the set of files it downloads EVERYTIME I run it...

root@server:~# apt-get update

Reading package lists... Done

It's giving me no confidence to continue with the install.

I am a bit of a noob - am I missing something stupid?

No. What it is getting is the information from ubuntu repositories that you have at your "/etc/apt/sources.list". You can cat out that file and compare it to what its getting.

Is there any packages that come after that. Does it ask you if you want to install or not?

Sounds a bit weird - dowloading 8meg just to say there are no updates.

I'm sure when I've run it through the GUI it has in the past said something like - your system is up to date. If I run it through the GUI at the moment it is doing exactly the same as from the command line...

The sources.list is the default one with all repositories unhashed.
