With the 9.04 coming out in few weeks I wonder if I should upgrate from 8.10 to it, taking into consideration that my hard drive 40gb has just died and am stuck with ubuntu not like I am not happy that xp died than ubuntu, on the upgrade matter take into consideration that I run a P3 with 256mb ram.
The family pc runs vista so... I dont mind loosing xp

I can't say what you 'should' do, but I can say what I 'would' do if I were in you place.
You see, if you can run 8.10 in your computer, then you shouldn't have any problem with 9.04 (In terms of hardware requirements). The newer version is introducing ext4 file system, which is claimed to work fast. Beware though, even many experienced users are not showing interest to install ext4, as ext4 is having some issues presently (data loss, and some other issues). But still ext3 is the default file system in 9.04, so if you wish you can continue with ext3 only.
Now if I were in your position, I would first try to improve the RAM, because 256 Mb is the minimum requirement asked by Ubuntu. I guess you must be having DDR1 RAM, which is expensive now a days, but you should try getting it.
Second thing which I will do, is that I will upgrade to 9.04 for sure. A newer version usually have fixes and new features, so why not to get that? :)

You might get better performance with Xubuntu. If you can put some more memory in there then it should be able to handle Jaunty fine. Right now I am typing this from a 750 Mhz CPU with about 600 MB of RAM on the Jaunty beta. It is functional and quicker than it was with Windows 2000, however, if I open up six firefox tabs it slows considerably. Compared to my laptop (1.6 GHz cpu, 1 GB Ram), its pretty slow and I can really feel the difference. It still lags every now and then too. Mainly due to the CPU.

I would go with the clean install over the upgrade. It is actually faster.
What version are you running right now.
