Go to System, Administration, Software Sources, and under 'Installable from CD/DVD-ROM' uncheck the box. Then reload your sources.list.

Why don't you simply download an ICO, burn it to CD and try to install it in that way?
It will cause less possible problems.
At the time I was using Ubuntu-6.10 I upgraded in your way. When I tried to reboot I just couldn't because there was no driver for my HDD. I lost some important information and had to switch to Fedora which installed and booted just fine.
