Is it safe to upgrade to Ubuntu from liveCD, I don't have good internet but already have the .iso image

Should be, provided you are upgrading from release n-1 to release n, that is 13.10 to 14.04, and the cd is in your sources.list.
You may miss some packages though that you will have to upgrade later on.

I ended up doing a fresh install and did not attempt upgrade
