For me it doesn't but since I've changed two things at one time, I don't know which one is to 'blame' that I'm now running XP in a vm...
    I changed to 4.2.4
I changed the virtual machine settings in my Asus-BIOS to 'on'
    I'm thinking about it

Did you try alternate settings for these ?Just to make sure you are aware of this, you also have to enable VT-x/AMD-V in BIOS of your actual computer if you are enabling this feature in the VM.
    Maybe that's the key -

Thanks varunendra, yes I 've tried quite a few combinations including the ones you suggest.

Also the problem with my host computer's BIOS menu is that it is very limited in the options it has open for changing(just boot order and enable or disable onboard USB controler) and does not let me dig in in detail.

I've no more ideas then, sorry.

I'd like to mention though that I'm running VBox 4.1.12 on my 12.04 64 bit without problems. Everything from default repo.

I finally found a fix. It was discussed in this link. To summarize, all I did was run these two line:

    sudo apt-get install dkms build-essential linux-headers-generic
    sudo /etc/init.d/vboxdrv setup

Hope this helps. It was a real head-scratcher!"
Thank you so much! This worked for me as well!
I also had to update my BIOS (still had no option for VT-X, but the BIOS update at least enabled it!)

    Cheers
