I am having the same problems. It can't find the vbox directory like those above. After I try the Linux headers as suggested, I get this error.:

Check the make.log for more info. It's likely something is broken.

You could try purging and reinstalling virtualbox and seeing if the error message goes away.
If the problem still persists, you might want to make a thread on virtualbox.org.

I get same response. Does that output above give any clue as to what is going on or what I need to do?
Purge the ose edition and install the version from virtualbox.org.

4.1.12 was released in April of last year, so it's probably not compatibly with 3.5.x kernels.

EDIT: It looks like there was a patch released via PPA for the version of vbox in the Precise repos, you can find it in comment 3 and 4:

Many thanks Lin-Lin_224, I updated my Ubuntu 12.04 today and my Virtualbox stopped working, you are a life (well time) saver as I thought a re-install was going to be my only solution, but your info fixed the problem.
