gksudo just gives you a nice pop up box to type in your password rather than having to type it in the terminal window. Other than that there isn't really any difference.

I did an Audigy2 ZS to Xonar D2 upgrade a couple of months ago and I don't remember having any problems. Its well worth the upgrade too as the Xonar D2 sounds much better :).
