To confirm I had to install dkms and bcmwl-kernel-source and wireless is fine.

3.6 didn't solve it.
It seems the install uses wl0 and works just fine but when installed its trying to use brcmsmac and it just doesn't work for me.

loaded acer_wmi at boot and disabled wireless
blacklist acer_wmi
all works just fine
OK SOLVED.
I have a LAN/WAN switcher in the BIOS turned on !
In other words unplug the cable and wireless turns on, plug cable back in and it turns off.
Thanks Ubuntu for working properly.
Or maybe get this iwl3945 working instead of course.
