I just upgraded from 12.04 to 13.04 (using do-release-upgrade, via 12.10). Overall, the upgrade went pretty smoothly.

I think the difference you see is not a tool that you are using for transcoder, but a "bitrate" transcoding setting. "-target ntsc-dvd" implies a certain high bitrate. I'd recommend to play around...
