Is it Legal to make a Ubuntu Based Distro ?
Of course we are going to wrtite that this distro is based on Ubuntu and Debian .

If you really want to do that, yes that's allowed, but isn't it better that you help improve ubuntu itself, instead of starting a new distro 8-[:confused:

hm in this time no becouse in my country we can give local support to some companies and we want to try some ideas that we have ( is they realy good or not)

You might want to check out what Seveas has done with metapackages. Hosting your own repository with your own special packages seems like a good solution. And if you can set up a mirror for the regular repositories your users would have minimal impact on the official Ubuntu servers.
Then you can tell us how you did, so we can do the same thing for our own clients! Seems like a win/win to me.

I'd love to see more specialized repositories for easy installation of nonstandard or localized setups.

no, ubuntu is based of debian, would it have been better for mark to improve debian instead of making ubuntu? NO, why because debian and ubuntu have diferent goals. So if you want to make a distro with diferent goals to ubuntu but base it of ubuntu yes it is legal and probaly the best thing to do.
also as long as they document and publish there source well the ubuntu team can easly include it in ubuntu if they like the code
