the first motherboard will only work with AMD cpus. The second will work although your ram is slower than the max your motherboard can take. I would recommend that you get the faster ddr2 800 ram instead.

would this fan work?
and is it necesary to put on the heatsink glue?

that cpu cooler will work but probably wont be much more effective than the stock cooler that came with your processor. As for thermal paste you definately need it. The question you need to ask is "Is the stuff that comes with the cooler good enough". If you arent going to over clock or anything just use what it comes with. Otherwise you should probably go with artic silver or some other higher end thermal paste.

i broke the installation pins on the original fan

okay that one should do then. Make sure however that you clean off the top of the CPU with isopropyl alcohol before you stick the new one off. You want to make sure you have a nice clean surface so you get good thermal transfer.

Why buy slower memory then the board can take? I doubt the right memory would cost much more it might even be the same.

it seems to me as if it is a replacement motherboard and therefore he already has the RAM. If not a definately agree with you. It isnt a large price difference.
