I can't think of any??? I guess for distro(s) running the XFCE light-weight desktop environment it's a better fit for older systems versus KDE or Gnome... Other than that, I like it...

compared to what? regular Ubuntu? Windows? OS/X?

Not as good when it comes to configuration GUIs (such as a menu editor), and the settings menu tends to get very disorganized. Also, it is a little bit harder to install themes if you don't know how.

The biggest disadvantage for me is XFCE.
I like XFCE dont get me wrong but its behind in some areas.
Especially its menu editor, really they need to work on that thing...

I think that Xubuntu's XFCE is much slower than many other XFCE distros like Zenwalk, or even Debian with XFCE on top.

What's wrong with the menu editor? I agree that it's hard to edit the default one, but drag and drop from the Appfinder to the Menu Editor makes it really easy to make your own from scratch. Drag and drop from the Appfinder works for desktop and panel launchers too.
For theming, themes go in the ~/.themes folder, icon sets go in the ~/.icons folder.
I guess I would say the disadvantage of Xubuntu is that its quirks are not as well documented.
