There are some short videos explaining how to install Ubuntu at screencasts.ubuntu.com

Try them, and then ask any questions that you have.

i'm using a flash drive to format/intall OS on my netbook.

First download the Ubuntu .iso file.

http://www.ubuntu.com/desktop/get-ubuntu/download

Use something like unetbootin to make a Live USB stick with your .iso file.

http://unetbootin.sourceforge.net/
http://www.pendrivelinux.com/

Boot into XP and save everything you wouldn't want to lose.

Boot from the USB flash to ensure that you can get to the desktop and that things appear to work, then install.

Are you installing alongside XP or over it ?
