32bit colour is 24bit plus alpha channel I think. Your ubuntu should already be setup correctly.

I think 32-bit color is really a misnomer.

But when i startup Jaunty using Virtual box ,it reports that my system is using 16 bit, nedd to configure to 32 bit for optimum work

If you are running Jaunty in a vm, your are limited to the colour depth of the vm. You are running on virtual hardware, so you can't expect to get the same out of it as if you were running natively.

I get the same problem running Virtualbox. The message from Virtualbox is that it is capable of running 32bit color, but the guest os is running 16bit. So, how do you change Ubuntu to run 32bit color?
